We start the process with a conversation, where the assets being sold are discussed in detail so that the operational side of the house is fully understood. But, before we ever get on our first calls with clients, we have a team of analysts that build a business profile so that the first call gets right to the heart of company operations. Following this, the next step is a deeper dive towards a valuation. We pour over the company’s past and projected performance, and develop an Enterprise Value Range for the assets. We use this analysis and valuation process to work with you on an overall Exit Strategy, including the proper time to go to market. We execute the Exit Strategy for our clients, running the entire process from A to Z. No stone is left unturned to maximize deal structure and close as efficiently as possible at the highest end of the Value Range.

Our process is simple. Contact us and request an Initial Evaluation. Our analyst team will review your company with the broker you will be working with to prepare a data set for the initial call. On the call, additional operational and financial diligence is performed. Following the initial call, we work with you to develop an Enterprise Value Range for the business, and build an Exit Strategy that is in line with the Founder’s expectations for deal value, timing and structure. If you are interested in going to market right away, our entire process takes less than 1 week and you can expect to be speaking with buyers about your company in less than 2 weeks. Closings can take anywhere from 30-120 days on average, depending on the deal, and we run the entire process for you from start to finish. You are never alone in this process, also represented by a highly trained, professional broker.
We are 100% Success Based, meaning that we do not take any fees or request any retainers while we prepare your business for market and execute on your Exit Strategy while in the market. Our fees are paid only when we close. Fees can be flat fee, reverse Lehman, Straight Lehman and other variations depending on deal size and the needs of the client. This is usually one of the first questions our clients ask us. And the answer is – it depends. The larger the deal, the longer it generally takes since there can be 20+ people working on larger Middle Market Transactions. But on average, for most SMB & Lower Middle Market deals, we advise our clients to expect a window of 30-120 days to close the business. Additionally, how long a business takes to close trends with how aggressive our client would like to be at market; the more aggressive we get, the longer it usually takes. Importantly, the Asking Price we go to market with is ultimately up to our client. We provide what we believe is the market Value Range and we recommend the Asking Price, but ultimately we leave the final decision to our client. After all – this is their company, their blood, sweat, and tears – they should have the right to decide.
We run the entire process for you, making it as easy as possible on you as we know how stressful it can be. There are a few specialists that you might choose to use depending on the deal. CPAs can be used to ensure the company’s books are in order, and usually this is the same accounting firm that the business owner has used in the past. Attorneys are generally hired once the legal process starts to represent the company on all legal matters (although the broker is still heavily involved on all business points and works to ensure that the attorneys on both sides don’t go down rabbit holes that might destroy the M&A process). Tax advisors are also sometimes used to ensure that the right tax strategies are utilized when selling a business. While we don’t perform these specific services, we can recommend firms that we have worked with countless times, and that we know fully understand the nuances of the M&A process.
